1. Acceptance of Terms

By using AndVoice Services, you confirm that you have read, understood, and fully accepted these Terms. You also declare that you have the legal capacity to enter into this agreement. Your continued use of the Service after any modifications will constitute acceptance of such modifications.

2. Service Description

AndVoice provides a technology platform that allows users to clone voices and use voice models for audio generation (text-to-speech and speech-to-speech). The Service is provided for creative, professional, and personal purposes, in compliance with the limits set forth in these Terms.

3. User Account

To use certain features of the Service, you must create an account. The User is responsible for:

• Providing accurate, complete, and up-to-date information.
• Maintaining the confidentiality of their password.
• All activities that occur under their account.

You must notify us immediately of any security breach or unauthorized use of your account.

4. Permitted Use and Restrictions

You agree to use the Service in a legal, ethical, and responsible manner. It is strictly prohibited to use the Service for:

• Illegal Activities: Creating or disseminating content that violates any local, national, or international law.
• Impersonation and Deception: Impersonating another person without their explicit consent, for the purpose of fraud, deception, or defamation.
• Harassment and Abuse: Creating content that is harassing, threatening, defamatory, obscene, or that incites hatred.
• Disinformation: Generating and distributing "deepfakes" or manipulated content for malicious purposes, such as political disinformation, propaganda, or fake news.
• Violation of Third-Party Rights: Uploading voice samples or creating content that infringes on the intellectual property rights (copyrights, trademarks), privacy, or other personal rights of third parties. You represent and warrant that you own or have obtained all necessary licenses and consents to use any voice uploaded to the platform.
• Exploitation: Creating content that exploits, harms, or attempts to exploit or harm minors in any way.
• Unauthorized Commercial Use: Reselling or commercially exploiting the Service without our express written authorization.

We reserve the right to suspend or close your account and remove content, without notice, if we believe that a violation of these rules has occurred.

5. Intellectual Property

Our Property

The Service, including the software, website, logos, trademarks, and all content created by us, are the exclusive property of AndVoice and its licensors.

Your Property

You retain all ownership rights to the voice samples you upload ("User Content") and the generated audio files ("Cloned Voices"). By uploading your content, you grant AndVoice a worldwide, non-exclusive, royalty-free, and transferable license to use, process, store, and modify your content solely for the purpose of providing you with the Service and as described in our Privacy Policy.

6. Content Responsibility

You are solely and exclusively responsible for all User Content you upload and all Cloned Voices you create and disseminate using the Service. You understand that the use of voice cloning technology entails significant ethical responsibilities. AndVoice acts as a technology provider and does not endorse, support, or assume any responsibility for content created by users.

7. Disclaimer of Warranty

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, secure, error-free, or that it will meet your specific requirements. Your use of the Service is at your sole risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANDVOICE, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• (iii) ANY CONTENT OBTAINED FROM THE SERVICE;
• (iv) YOUR USE OF CLONED VOICES, INCLUDING ANY CLAIMS FOR DEFAMATION, FRAUD, OR OTHER WRONGS; AND
• (v) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

The User agrees that full legal, ethical, and financial responsibility for the use of cloned voices rests solely with them. AndVoice assumes no responsibility for direct or indirect damages caused to third parties as a result of the User's use of the Service.

9. Indemnification

You agree to defend, indemnify, and hold harmless AndVoice and its affiliates, officers, agents, and employees from and against any claims, demands, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your breach of any term of these Terms; (c) your violation of any third-party right, including, without limitation, any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive the termination of these Terms and your use of the Service.

10. Account Termination

We may suspend or terminate your account immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Court of Vicenza, Italy.
